Terms and Conditions of Trade
1. Definitions
"We", "our", "us" refers to T B Maru Engineering Limited. "You", "your", "client", or "buyer" refers to the customer purchasing or receiving goods or services from us. "Goods" means any products supplied by T B Maru Engineering. "PPSA" refers to the Personal Property Securities Act 1999 (New Zealand).
2. Quotations & Orders
All quotations are valid for 30 days unless otherwise stated. Orders are confirmed upon acceptance of our quotation or upon issuance of a purchase order. By placing an order, you agree to be bound by these Terms & Conditions.
3. Payment
Payment terms are due by the end of the next calendar month unless agreed in writing. We reserve the right to charge interest on overdue invoices.
4. Retention of Title
Title to all goods remains with T B Maru Engineering until payment has been made in full. If full payment is not received, we reserve the right to reclaim the goods. The buyer must not sell, transfer, or otherwise dispose of the goods until ownership has passed.
5. Security Interest (PPSA)
This agreement constitutes a security agreement under the Personal Property Securities Act 1999 (PPSA). You grant us a security interest in the goods and their proceeds. We may register our interest on the Personal Property Securities Register (PPSR).
6. Insurance
The buyer is responsible for insuring the goods at their full replacement value from the time of delivery. Unless otherwise agreed in writing, T B Maru Engineering is not liable for any damage, loss, or deterioration of the goods after delivery.
7. Delivery & Risk
Delivery times are estimates only and not guaranteed. Risk in the goods passes to the buyer upon delivery, regardless of whether full payment has been made.
8. Warranties & Liability
We warrant that goods supplied are free from material defects in workmanship. Our liability is limited to the repair or replacement of defective goods. We are not liable for any indirect or consequential loss.
9. Returns
Returns are subject to our prior approval. Goods must be returned unused, in original packaging, and within 14 days of delivery. Restocking fees may apply.
10. Force Majeure
We are not liable for delays or failure to perform due to events beyond our control, including natural disasters, strikes, or supply shortages.
11. Governing Law
These Terms & Conditions are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of the New Zealand courts.
12. Amendments
We reserve the right to update these Terms & Conditions at any time. Updated terms will be published on our website.
